Foreword
At BH Global Corporation Ltd (“BH Global” or “the Company”) and its subsidiary companies (collectively known as the “BH Group”), we are committed to uphold the highest standards of behavior in our business.
The Code of Business Conduct serves as a foundation to how we conduct our business and put our core values into practice in our daily work life. We conduct our business honestly and ethically, and we are in full compliance with all applicable local laws and regulations. To ensure these values are consistently upheld, the company has established detailed policies and procedures that provide specific guidance on how to implement and adhere to these standards in daily operations.

Responsibilities
The Code of Business Conduct acts as a guideline for the standards of behaviour and is applicable to all persons engaged in a contract of service with us (whether on a part-time, temporary or full-time basis) and interns and trainees (collectively referred to as “employees”) working or attached to BH Global and BH Group. Where applicable, the Code also apply to our customers, distributors and suppliers and any relevant stakeholders that are part of our business dealings (collectively known as “Business Partners”).
Enforcement – Managers are responsible for enforcing this Code within their respective teams and ensuring that employees receive adequate training on the terms and conditions stated within the Code.
Compliance – Employees are responsible for complying with this policy and all applicable legal requirements. Regular audits and inspections will be conducted to ensure compliance with this Code, applicable regulations, and industry standards.
Workplace Ethics

Anti-Harassment
We do not tolerate any form of harassment of employees or Business Partners with whom we have a business, service, or professional relationship. These actions or behaviours include, but are not limited to, usage of threatening, abusive or insulting language or non-verbal gestures, cyber bullying, sexual harassment or stalking.
Any employee who are identified as perpetuators of harassment or retaliation will be subjected to remedial and/or disciplinary action, up to and including termination of employment.
Any Business Partner found to be engaging in any type of unlawful harassment or discrimination will have their contractual relationship with BH Global and BH Group terminated.
Smoking, Alcohol and Drug Use
Alcohol and drug use are strictly prohibited in the workplace. We are not permitted to be under the influence of any legal or illegal drug and alcohol that impairs our ability to perform the required job task. All employees are prohibited from manufacturing, soliciting, distributing, possessing, or using any illegal drugs or substances in the workplace, or while working.
We will ensure a smoke-free environment within the company’s compound for fire safety reasons, less the smoking areas designated by the Company.
Occupational Health and Safety
BH Global and BH Group is committed to providing a safe, healthy and productive workplace environment for all employees. We must create and maintain a safe working environment to prevent workplace injuries.
We must ensure that all safe work procedures are documented and adhered to. We must also assess the risks involved whenever necessary, promoting a transparent culture of prompt reporting of accidents, injuries and any identified unsafe equipment or workplace hazards.
We must comply to the local occupational health and safety laws and BH Global’s and BH Group’s health and safety rules and regulations. All employees of BH Global and the BH Group are to promptly report any instances of breaches to safety and health at the workplace.
Open Door Communication
Employees are encouraged and should feel comfortable to speak his or her mind, particularly with respect to any pressing concerns, problems and ideas. Immediate supervisors have the responsibility to create an open and supportive environment when their employees feel comfortable initiating such conversations.
The employees reserve the rights to have any further discussion to take place with their managers, HOD, and or HR department, with or without their immediate supervisor present and involved, if the employee is not comfortable raising the issue with his or her immediate supervisor.
We will not tolerate retaliation against employee who raise genuine concerns or report any unethical behaviour in good faith.
Business Ethics
Quality and Safety Assurance
We are committed to ensuring product and service quality for our Business Partners. They must be able to rely on our products and services to perform their intended functions of business.
We will ensure that all products and services provided are in adherence with our safe work procedures during the time of design, manufacturing, production and or delivery process. We seek to constantly review and reduce any hazardous risk to all our employees and Business Partners.
We will ensure that any inventive and developmental efforts by BH Global and BH Group will comply with applicable laws and regulations and do not compromise on quality and safety.
Bribery and Corruption
BH Global and BH Group take on a zero-tolerance approach towards bribery and corruption. We do not condone corruption in any form, whether involving private individuals, government officials, private companies or public organisations. BH Global and BH Group comply with all local anti-bribery and anti-corruption laws in our conduct of business.
We must not, directly or indirectly, knowingly offer, attempt to offer, authorise or promise any forms of bribe, facilitation payment or kickbacks to a government official or any individual for the purpose of securing or retaining business, or gaining an improper advantage. We also must not, directly or indirectly, accept or solicit a bribe from a government official or any individual.
BH Global and BH Group will not support any transactions that involves the offering, giving, or receiving of any bribe, and will exercise due diligence and care not to unknowingly approve such transactions.
BH Global and BH Group can be found responsible for any forms of bribe, facilitation payments and or kickbacks paid by any Business Partners acting on our behalf. We must ensure that any collaborated Business Partners are selected and screened in accordance with the BH Global’s and BH Group’s policies and procedures.
Insider Information and Security Trading
As a public listed Company, we strive to protect BH Global’s and BH Group’s confidential and insider information. In carrying out their responsibilities to the Company, employees often learn of confidential or proprietary information about the Company or other parties that have dealings with the Company. Employees should only use such information to further the business interests of the Company and not use such information to further their own or another party’s interests.
Confidential and insider information, when made public, may affect its share price or potential influence a person’s decision to buy, sell or hold the shares. Such information refers to, but not limited to, pricing and financial data, employees or Business Partners’ personal information, and non-public information of other companies held by BH Global and BH Group for any business purposes.
We are not allowed to trade in the shares of BH Global, securities and stock exchange of any publicly listed company, or any other financial instruments based on the insider information that is obtained during the performance of his or her work duties, if the price-sensitive information has not been reported publicly.
We must also refrain from disclosing confidential and insider information to anyone, including but not limited to, family members and friends, unless disclosure is required for any legal proceedings or by any judicial, governmental or regulatory authorities. All employees also have the obligation to continue preserving the proprietary and confidential information even after his or her employment has ceased.
Conflict of Interest
Conflict of Interest may arise when an individual’s personal or family interests and/or any of his or her affiliations conflict with those of the BH Global and BH Group, impairing his or her ability to make impartial, unbiased business decisions.
We have the duty to BH Global and BH Group to advance its legitimate business interests when the opportunity to do so arises, where our Management and all employees have the responsibility to act in the best interest for the Company.
We must disclose any outside activities, financial interest or relationship that may pose a real, potential or perceived conflict of interest. Disclosures are to be made to the HR Department, with the required written approval obtained before any form of engagement.
We are not allowed from being a part of the government, semi-government, or regulatory bodies, or from taking on roles such as office bearers, council representatives, or committee members in trade or professional organisations, unless prior approval is obtained under exceptional circumstances. This limitation does not extend to participation in social or community-oriented clubs and associations.
Employees are advised to contact the HR Department when he or she is unsure of whether they might be engaging in any form of engagement or dealings that might be of a conflict of interest to BH Global and BH Group.
Gifts, Entertainment and Hospitality
BH Global and BH Group is committed to compete with our competitors solely on the merits and commercial advantage of our products and services and should avoid any action that may create a perception that favourable treatment of any Business Partner was sought, received or given in exchange for gifts, entertainment and or hospitality for the employees’ personal consumption and enjoyment.
Gifts, entertainment and or hospitality given to or received from Business Partners are meant to foster goodwill and amiable working relationships. We do not condone the use of gifts, entertainment and or hospitality to secure unfair benefits and or influence decisions in relations with business or official dealings.
Gifts, entertainment and or hospitality given to a government or public official may be prohibited by law in some countries under some circumstances. Employees must be aware and comply with applicable laws and regulations in the respective countries.
Gifts, entertainment and or hospitality offered by the Company must be approved in accordance with our policies and procedures, and all employees must be sensitive to the recipient organisation’s gifts and entertainment policy, if any.
Information Security
Organisational Data Protection
We will ensure that all BH Global and BH Group’s organisational information and resources are appropriately managed according to its information classification, and such information are not disclosed or leaked to any Business Partners, for any reasons other than those specified.
All employees should exercise reasonable care in handling the files and information that they were given access to on the network shared drives. The access to these network shared drives is designated and limited according to the employees’ work requirements and responsibilities.
We have the responsibility to safeguard information of all types, from the time of creation to the authorised disposal. All data and records must be controlled and maintained so that they are accurate, up-to-date and readily identifiable and retrievable, and are handled accordingly to the appropriate level of confidentiality determined by its information classification.
We must adequately protect any company information, retained data and resources against waste, loss, damage, abuse, misuse, theft, misappropriation or infringement and ensure that these assets are used and stored responsibly. Failure to comply will result in disciplinary action taken, up to and including termination of employment.
Personal Data Protection
We will take appropriate actions and safeguards for all personal data under the Company’s possession. We will adhere to local personal data protection laws and regulations for the collection, use, disclosure and care of personal data of all Business Partners.
Personal data collected will be stored and locked up securely within the company premises under the management of the respective HODs or authorised personnel, and in the network shared drive with limited and controlled access. For personal data of employees, this includes, but not limited to, employees’ employment history, personal contact information, pay compensation details, health information and any performance and disciplinary records. For other personal data collected, this includes, but is not limited to, transport driver details or any contact information collected from our Business Partners may be ascertained as personal data.
Information Technology
Any use of BH Global’s and BH Group’s computer facilities should only be limited to business purposes and should not be used for any personal purpose. These computer facilities include access to Internet, email services and all other computer hardware, software and peripheral devices.
All computer facilities should be reasonably protected against theft, damage, and misuse. The Group strictly prohibits the use of computer facilities for any activities related to sensitive or illegal content, violations of intellectual property rights, unauthorized access, misuse of company time and resources, or actions that could compromise the integrity of computer resources.
We will ensure proper security arrangements are in place for our computer facilities to prevent any breach or loss of any data and confidential information to any unintended parties.
Environment and Sustainability
Commitment to Sustainability Efforts
We will extend our efforts in progressing towards our goal of embracing technologies in relation to Environment, Digitalisation and Electrification to achieve environmental conservation and sustainable development.
Sustainable Sourcing and Procurement – We prioritise working with suppliers and business partners who share our commitment to environmental sustainability.
Employee Responsibility – We encourage environmental awareness, training, and innovation to support our company’s sustainability goals.
Sustainability and Climate Risk Committee will regularly review our environmental policies and practices to identify areas for improvement.
BH Global and BH Group aligns its sustainability commitments to the United Nations Sustainable Development Goals. We will regularly identify key areas of contributions to promote the Group’s sustainability efforts and align our long-term business strategies with approved standards of sustainability practices.
Commitment to Environmental Protection
Resource Efficiency and Waste Reduction – We are committed to minimise waste and impact on the environment and operate in an environmentally responsible manner in all fields of our business activities. We will ensure the robustness of our quality and environment management system and strive to comply with all relevant laws and regulations.
We will adhere to the BH Global’s and BH Group’s climate risk governance framework to enhance our work management flow and response towards climate risks.
Compliance
Employees are encouraged, as an active and moral obligation, to report any breach, misconduct, wrongful activities or wrongdoing within BH Global and BH Group, to protect the values, integrity and accountability where we conduct its business and affairs.
Employees can address such issues with their managers or the HR Compliance Division. However, if it is not possible or if an employee is uncomfortable to do so, he or she is also permitted to raise such concerns via our Whistleblowing system.

We will safeguard the whistleblower’s identity and therefore undertakes to treat all whistleblowing reports as confidential, unless otherwise required by law or for purposes for any proceedings by or against BH Group and that the whistleblower consent is attained. BH Global and BH Group will not tolerate punishment or unfair treatment when concerns are raised in good faith.
BH Global and BH Group will investigate all reported instances of questionable or unethical behaviour, and take appropriate action required, up to and including termination of employment.
